1. Introduction

1.1. The following terms of service (“Terms of Service”) for Adwisely, platform developed by Ad Intelligence Inc. (“Adwisely”, “we”), describe the terms on which a user may access and use services of Adwisely. By installing the Adwisely app from the Shopify App Store, users automatically accept these Terms of Service (“Terms”). This acceptance is a condition of installation in accordance with Shopify’s platform terms and documentation regarding third-party applications. If you do not agree to these Terms, you should not install or use the Adwisely app.

1.2. Adwisely reserves the right to modify the Terms of Service at any time without prior notice. Updated Terms of Service come into power once they are posted on this webpage. Your continued use of Adwisely services automatically suggests your acceptance of the updated Terms of Service. 

2. Access to assets and asset management

2.1. To work properly, Adwisely needs to obtain access to a number of assets. Access to each of the following assets is vital for the service Adwisely provides:

  • access to user’s business Facebook page (permission to Create ads)

  • access to any assets created by (or with help of) Adwisely, including, but not limited to Business Manager(s), Meta ad account(s), Meta pixel(s), Product Catalog, and Product Sets

  • access to the user's Google Ads account (limited managerial access only) and Google Merchant Center account.

2.2. The access to all the assets listed in 2.1 is to be provided by the user during the onboarding for the corresponding ad platform (Google or Meta). Adwisely reserves the right to create missing assets for the user or to instruct the user on how the missing asset can be created. 

2.3. Adwisely will only make changes to the assets if they are necessary for the proper functioning of the service Adwisely provides.

2.4. Adwisely defines the number and type of advertising campaigns, ad sets and ads necessary to ensure the highest possible returns of user’s ad investments. Adwisely will create these campaigns, ad sets and ads automatically without user’s prior confirmation as long as user has launched at least 1 campaign, and it is active.

2.5. Adwisely will not claim ownership of any assets belonging to the user, nor will it ever give any 3rd party access to the assets.

2.6. Adwisely strongly discourages the users from using any Adwisely-powered assets for any purposes other than running Adwisely-powered ads. This refers to Business Manager(s), Ad Account(s), Campaign(s), Ad Set(s), Ad(s), Product catalog(s), Product feed(s), Meta Pixel(s), Facebook audience(s), Google Ads account(s), Google Merchant Center account(s), and ad creative elements created and maintained by Adwisely. Unauthorized use of the above-mentioned assets may cause problems with app functionality and can result in immediate termination of service as described in 5.2. 

2.7. Adwisely will not take any responsibility for the problems with the service if:

  • access to at least one of the above-listed assets was revoked by the user who is currently running at least one campaign with Adwisely without prior written notice to Adwisely 

  • any campaigns, ad sets or ads created by Adwisely are deleted by the user

  • the Facebook page connected to Adwisely is deleted and no other page is connected

  • the user deactivates the Adwisely-powered ad account or if the ad account is deactivated by Facebook

  • the user deletes the Business Manager in which the Adwisely-powered ad account was created

  • the user installs any applications, plugins, themes and parts of code that prevent Adwisely pixel from working properly. This includes, but isn't limited to Quick View option, cross-sell and upsell solutions and checkout customization.

3. Payments and refund


3.1. The cost of using Adwisely is a sum of the Adwisely plan fee and 10% of all the Adwisely-powered ad spends above the plan limit.

3.2. The payment for the ads themselves is made directly to Facebook and / or Google in the currency of your choice, and is non-refundable. The ads are paid for with the payment method connected to the user’s ad account(s) created by Adwisely.

3.3. Adwisely plan fee is a fixed fee paid in the beginning of each 30-day billing period. The overspend fee is 10% of all Adwisely-powered ad spend above the plan limit paid in the beginning of the following 30-day billing period.


This way, In the beginning of the 2nd and each consecutive 30-day billing period, Adwisely user pays a plan fee for the current billing period and the 10% of ad overspend (if any) for the previous billing period.

3.3.1. For Shopify users, it is paid with the payment card connected to Shopify account.

3.4. Adwisely plan fee and overspend fee are non-refundable.

3.5. The payment period begins when the user completes a 7-day free trial. During the trial the user still pays directly to Facebook and / or Google for ads run inside the ad account, however, the user is not charged anything for using Adwisely.

3.6. The trial period begins when a campaign is created on any ad platform (Meta or Google). The trial ends in 7 days.

3.7. The user can have only one trial period per Shopify domain.

3.8. Adwisely reserves the right to change the payment terms. In the event of the change, a written notice will be sent to the user via e-mail at least 7 days before the change of the payment terms.

3.9. Adwisely is not responsible for any changes on the payment system carried out by Facebook, Google, or Shopify.

3.10. Adwisely reserves the right to temporarily increase the daily ad budget up to 25% of the daily ad budget set by the customer without prior notification to the customer. This can be done to increase revenue and number of sales during short-term promo sales. Adwisely also reserves this right in order to increase the customer's store revenue if an opportunity is identified, provided the Return on Ad Spend (ROAS) remains acceptable.

4. Account terms

4.1. The user must be at least 18 years old at the moment they first install Adwisely.

4.2. By installing Adwisely, the user agrees to:

  • provide access to all the assets required by Adwisely

  • create missing assets in the case of necessity

  • allow Adwisely to create, edit and delete ads, ad sets and campaigns inside the user's ad account created by Adwisely

  • learn about Facebook Advertising Policies and follow them

  • be ready to make changes to the website and Facebook page to make them meet basic requirements for running the app

  • report issues to Adwisely team via chat or e-mail and allow up to 72 hours for them to be addressed

  • provide all the necessary information to Adwisely support

  • refrain from making any publications on the Internet mentioning Adwisely without prior written agreement from the Adwisely team. This refers to, but isn’t limited by blog posts, posts in groups and communities, tweets and images.

4.3. The only language of Adwisely is English. App interface, Help Centre and Blog, as well as all transactional e-mails and all messages exchanged with the user are and will be written in English.

4.4. The primary language of Adwisely Customer Support is English. However, upon the customer's request, support can also be provided in multiple languages using AI-based translation.

4.5. Inability or lack of desire to perform any of the above-listed actions may lead to the termination of service provided by Adwisely, with or without a prior written notice.

4.6. Adwisely reserves the right to make decisions on the age and location of the retargeting ad audience at its sole discretion if the user’s store contains restricted products such as:

  • alcohol, alcohol-related paraphernalia and any products that depict or promote drinking alcohol

  • supplements and medicine

  • gambling (both real and online) and lotteries.

  • guns, firearms or other weapons, and any related paraphernalia.

4.7. Adwisely reserves the right to exclude all the products which do not comply with Facebook Advertising Policies or Google Ads and Google Merchant Center policies from the Adwisely-powered campaign catalog without notifying the user.

4.8. Adwisely reserves the right to edit the ad message set up by the user if it (or any of its components) do not comply with Facebook Advertising Policies or if the ad message hasn’t been updated for over 30 days.

5. Termination of service

5.1. The user may choose not to use Adwisely at any moment. To stop using Adwisely, the user needs to pause the campaign from the dashboard inside Adwisely and remove Adwisely from the store admin panel. Pausing the campaign inside the ad account will not have any effect as long as the campaign is active on Adwisely dashboard.

5.2. Adwisely reserves the right not to provide the service to the user at its own discretion. Adwisely also reserves the right to terminate the service if the user fails to comply with Account Terms listed above. In this case the user will be still charged for using Adwisely even if the billing period has not reached its end yet.

5.3. Adwisely reserves the right to refuse the service or to terminate it if the user advertises products and services that do not comply with Facebook Advertising Policies or Google Ads Policies.

5.4. If the user has announced his/her intention to terminate Adwisely service, Adwisely remains the only owner and manager of all the assets it had previously created for the user. Adwisely will not share Product Catalog, Meta pixel, pixel data, Google Merchant Center account, or Google Ads account with any users or agencies.

5.5. If the user chooses to uninstall Adwisely, Adwisely revokes the Admin role previously granted to the user for the Adwisely-powered ad account. This is done to prevent ad account misuse.

5.6. When canceling a subscription to Adwisely or otherwise terminating use of the service, the user is responsible for removing the payment method connected to any Adwisely-powered ad account. It is the user’s sole responsibility to clear any outstanding balance with Facebook and remove the associated payment method before Adwisely is uninstalled and Admin access to the ad account is revoked.

5.7. Should the user at any point decide to reinstall Adwisely, the Admin access to Adwisely-powered Ad Account will be re-assigned to them automatically. In this case, the user needs to add a payment method to the Adwisely-powered Ad Account before the ads are resumed.

6. Disclaimer

6.1. While Adwisely is designed to help maximize a store’s sales performance, results may vary between users due to differences in business size, target audience, product offering, and overall business model. Therefore, while we do our best to make Adwisely as easy to use and efficient as it can be, the user agrees to use the service “as is” and “as available”. Adwisely cannot warrant that use of its services will meet user’s requirements, will be uninterrupted and free from errors. Defects in the operation and/or functionality of Adwisely may or may not be corrected at the sole discretion of Adwisely team. 

6.2. Adwisely is not affiliated in any way with Facebook, Google, Shopify. Adwisely is not responsible for any problems experienced while using the above-mentioned services. Nonetheless, Adwisely respects the rules and regulations carefully created by Facebook, Google, Shopify teams and reserves the right to refuse service to any user who breaks one of the rules of using any of the above-mentioned services.
